1. Acceptance of Terms

By accessing or using the Twendi athlete tracking platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Twendi ("we," "our," or "us").

2. Description of Service

Twendi provides an athlete tracking and analytics platform that aggregates publicly available data to generate Likeness Scores, performance metrics, career timelines, and fan engagement statistics. The Service is designed for informational and entertainment purposes. All athlete data displayed on the platform is derived from publicly available sources and proprietary scoring algorithms.

3. User Accounts

Registration

To access certain features of the Service, you must create an account through our OAuth authentication provider. You agree to provide accurate and complete information during registration and to keep your account credentials secure.

Account Responsibility

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Scrape, crawl, or use automated means to extract data from the Service without our express written consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Use the Service to harass, abuse, or harm another person or entity
  • Reproduce, distribute, or commercially exploit any content from the Service without authorization

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Twendi and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Likeness Score algorithm, scoring methodology, and data presentation formats are proprietary to Twendi. You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our written permission.

6. Athlete Data and Accuracy

The athlete statistics, Likeness Scores, and other metrics displayed on the Service are generated using publicly available data and proprietary algorithms. While we strive for accuracy, we do not guarantee that any information on the Service is complete, accurate, or up-to-date. The Likeness Score is a composite metric and should not be used as the sole basis for any financial, professional, or personal decisions. Twendi is not affiliated with any athletes, sports organizations, or leagues unless explicitly stated.

7. User-Generated Content

If you submit, post, or share any content through the Service (including favorites, comparisons, or shared profiles), you grant Twendi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving the Service. You represent that you have the right to grant this license and that your content does not violate any third-party rights.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWENDI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Twendi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Twendi operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
